TERMS AND CONDITIONS Last Updated: 18/03/2026 A. INTRODUCTION i. These terms and conditions (“Terms”) govern the use of services made available on or through https://www.Loop-Ex.com and/or the Loop-EX mobile application (collectively, the “Platform”, and together with the services made available on or through the Platform, the “Services”). ii. These Terms also include our privacy policy available on the Platform (“Privacy Policy”), https://www.Loop-Ex.com/privacy-policy, and any guidelines, additional, or supplemental terms, policies, and disclaimers made available or issued by us from time to time (“Supplemental Terms”). The Privacy Policy, Refund Policy, and Supplemental Terms form an integral part of these Terms. In the event of a conflict, the Supplemental Terms shall prevail. iii. The Terms constitute a binding and enforceable legal contract between YourSeyva Skills India Tech Private Limited (a private company having its registered office at No.4, Kalleshwara Mansion, Opp. to South Indian Bank, Near Indian Oil Petrol Pump, Chandapura Main Road, Anekal, Karnataka 562106) (hereinafter referred to as “YS”, “we”, “us”, or “our”), and you, being any person who accesses or uses the Platform in any manner. For the purpose of these Terms, such persons are referred to as “Users”, and service professionals offering their services through the Platform are referred to as “Experts”. iv. By accessing or using the Platform, you represent and warrant that you have full legal capacity and authority to enter into and be bound by these Terms. If you are accessing or using the Platform on behalf of any entity, you represent and warrant that you have the necessary power and authority to bind such entity to these Terms. v. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as amended from time to time. These Terms apply uniformly to all persons accessing or using the Platform, whether as a User or as an Expert. If you do not agree to these Terms, you must not access or use the Platform. B. NATURE OF THE PLATFORM AND SERVICES i. Loop-EX operates as a digital expert discovery and connection platform that enables users (“Users”) to connect with independent service professionals (“Experts”). ii. The Platform functions solely as a technology intermediary facilitating introductions between Users and Experts. Loop-EX does not provide professional advice, consultation, or services. iii. Experts mentioned on the Platform are independent service professionals and are not employees, partners, agents, or representatives of Loop-EX or YS. iv. Loop-EX does not control, verify, or guarantee the advice, consultation, or outcomes provided by Experts. v. The Platform enables Users to discover Experts, submit requests, and initiate communication. All subsequent engagement is strictly between the User and the Expert. C. EXPERT REPRESENTATION AND RESPONSIBILITY i. By being mentioned on the Platform as an Expert, you represent and warrant that you possess the necessary knowledge, expertise, qualifications, and experience in your respective field. ii. You agree that all information provided by you, including professional details, credentials, and areas of expertise, is accurate, complete, and not misleading. You undertake to update such information as required. iii. You acknowledge that Loop-EX does not independently verify all credentials or claims made by Experts and that you are solely responsible for the authenticity and accuracy of your profile. iv. If your services fall within regulated professions, including but not limited to legal, medical, financial, architectural, or accounting domains, you agree to comply with all applicable laws, regulations, and licensing requirements. You shall not provide services beyond your authorized scope. D. EXPERT DISCOVERY AND CONNECTION PROCESS i. Users may browse and review Expert profiles available on the Platform. Such profiles may include professional background, experience, and areas of expertise, which are primarily self-declared by Experts. ii. To initiate a connection, a User must select an Expert, submit a request describing the requirement, and pay the applicable platform collection fee. iii. The request will be transmitted to the Expert only after successful payment of the platform collection fee. Upon such payment, the request is forwarded to the Expert and a communication interface is enabled on the Platform. E. EXPERT RESPONSE AND ACCEPTANCE i. Experts retain complete discretion to accept, decline, or not respond to any request. ii. Payment of the platform collection fee does not guarantee acceptance, response, or consultation. Loop-EX does not interfere with the decision-making of Experts. F. COMMUNICATION AND CONSULTATION i. If an Expert accepts a request, communication between the User and the Expert may continue through the Platform interface. ii. Experts and Users may mutually agree to continue consultations through phone calls, video calls, online meetings, or in-person meetings. iii. All consultations are conducted independently between the User and the Expert. Loop-EX does not participate in or control such interactions. G. PAYMENT AND FINANCIAL ARRANGEMENTS i. Any consultation fee or charges are determined solely by the Expert and are paid directly by the User to the Expert. ii. Loop-EX does not collect, process, or facilitate payments between Users and Experts and is not responsible for any financial arrangements or disputes. iii. For refund of the platform collection fee, kindly refer to the Refund Policy available on the Platform. All refunds, if applicable, shall be governed strictly in accordance with such policy. H. COMPLETION OF CONSULTATION i. Upon completion of consultation, Experts may update the status of the engagement on the Platform. ii. All outcomes, advice, and services remain solely between the User and the Expert. I. CONDUCT AND PROFESSIONAL RESPONSIBILITY i. You agree to maintain professionalism, integrity, and ethical conduct while engaging with Users. You shall provide services only within the scope of your expertise and in compliance with applicable laws. ii. You shall not misrepresent your qualifications, provide unlawful or prohibited advice, or engage in fraudulent, abusive, or unethical behavior. iii. You remain fully responsible and liable for your actions and services. J. INTERMEDIARY STATUS AND LIMITATION OF LIABILITY i. Loop-EX acts as an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. ii. Loop-EX shall not be liable for any advice, consultation, or services provided by Experts, any outcomes arising from such interactions, any inaccuracies in Expert profiles, or any disputes between Users and Experts, including payment disputes. iii. Users engage with Experts at their own discretion and risk. K. INDEMNITY i. You agree to indemnify and hold harmless Loop-EX, YS, and their affiliates from any claims, liabilities, damages, or losses arising out of your use of the Platform, your services, or your breach of these Terms. L. DELISTING AND PLATFORM RIGHTS i. Loop-EX reserves the right to suspend, restrict, or remove Experts from the Platform in cases including misconduct, misrepresentation, legal violations, or complaints. M. INDEPENDENCE i. The relationship between you and Loop-EX is on a principal-to-principal basis. Nothing in these Terms shall be construed as creating any employment, partnership, or agency relationship. N. INTELLECTUAL PROPERTY i. All intellectual property relating to the Platform, including software, branding, design, and content, belongs to Loop-EX or YS. Unauthorized use is prohibited. O. GOVERNING LAW AND JURISDICTION i. These Terms shall be governed by the laws of India. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction. P. MISCELLANEOUS i. The Terms may be revised at any time, and such changes shall be effective upon being posted on the Platform. ii. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. iii. You shall not assign or transfer your rights or obligations without prior written consent.
